Conflicts between a company and its shareholder often arise when one party (often the shareholder) feels that the other is doing things that are “unfairly prejudicial” to its interest. For the shareholders’ part, these are actions that often include freeze-out tactics, non-payment of dividends, abuse of power by directors, and exclusion from ongoing management of the business in a quasi-partnership.
